This Terms of Use and/or User Agreement, is entered into by and between Rocket ATM Inc., a Delaware corporation and you, and is made effective as of the date of your use of this website or the date of electronic acceptance.  Hereinafter, Rocket ATM Inc. refers to RocketATM.com and/or www.RocketATM.com (hereinafter "RocketATM",  "Website" or the "Site"). The terms "you", "your", and "yours" refer to anyone or any entity accessing, viewing, browsing, visiting or using the Site. The terms "RocketATM", "we", "us", and "our" refer to RocketATM, its affiliates and subsidiaries. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this User Agreement.   These terms and conditions govern your use of this website and the products and services purchased or accessed through this Site, and is in addition to (not in lieu of) any specific terms and conditions that apply to the particular Services.  If you disagree with these terms and conditions or any part of these terms and conditions, you must not use this website.

ATM Operator Agreement and Application

Rocket ATM Online Services Agreement ("RAOSA")

 

This User Agreement applies to all sales channels of RocketATM and its affiliate including but not limited to, the internet, telephone, catalog, radio, television, mobile device, and retail/wholesale location (e.g. a warehouse or office building).   By accessing any of RocketATM's sales channels, and any area of the Site, you agree to be legally bound and to abide by, this User Agreement. The following describes the terms on which RocketATM offers you access to our services.

You must be at least 18 years of age to use this website.  By using this website and by agreeing to these terms and conditions you warrant and represent that you are at least 18 years of age.

 

This website uses cookies.  By using this website and agreeing to these terms and conditions, you consent to our RocketATM's use of cookies in accordance with the terms of RocketATM's Privacy Policy.

You must not use this website for any purposes related to marketing without RocketATM express written consent.   

 

RocketATM and its Affiliates are not responsible for any User Submissions or material appearing in any public forum on the Site, except for content signed by one of our identified authorized representatives.   We do not screen User Submissions for libel, obscenity, invasion of privacy, copyright or trademark infringement, accuracy, or for any other reason. We retain, however, the right to prohibit or remove conduct, communication, or content, which RocketATM, in its sole discretion, deems to be harmful to users of the Site.

Any conduct by you that in RocketATM?s sole discretion restricts or inhibits any other user from using or enjoying the Site will not be permitted. You agree to use the Site in accordance with this User Agreement and only for lawful purposes.

 

Restricted Access

 

Access to certain areas of this website is restricted.   RocketATM reserves the right to restrict access to other areas of this website, or indeed this entire website, at RocketATM?s sole discretion.

 

If RocketATM provides you with a user ID and password to enable you to access restricted areas of this website or other content or services, you must ensure that the user ID and password are kept confidential. 

 

RocketATM may disable your user ID and password in RocketATM's sole discretion without notice or explanation.  Additionally, we may, in appropriate circumstances and at our discretion, suspend or terminate accounts of users who may be repeat infringers of intellectual property rights of third parties. We also reserve the right to cancel unconfirmed accounts or accounts that have been inactive for a long time, or to modify or discontinue the Site, services or tools.

 

User Content

 

In this User Agreement, "your user content" means material (including without limitation text, images, audio material, video material and audio-visual material) that you submit to this website, for whatever purpose.

 

You grant to RocketATM a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate and distribute your user content in any existing or future media.  You also grant to RocketATM the right to sub-license these rights, and the right to bring an action for infringement of these rights.

 

Your user content must not be illegal or unlawful, must not infringe any third party's legal rights, and must not be capable of giving rise to legal action whether against you or RocketATM or a third party (in each case under any applicable law). 

 

You must not submit any user content to the website that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.

 

RocketATM reserves the right to edit or remove any material submitted to this website, or stored on RocketATM servers, or hosted or published upon this website.

 

Notwithstanding RocketATM rights under these terms and conditions in relation to user content, RocketATM does not undertake to monitor the submission of such content to, or the publication of such content on, this website.

 

No Warranties

 

YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THIS SITE AND THE SERVICES FOUND AT THIS SITE SHALL BE AT YOUR OWN RISK AND THAT THIS SITE AND THE SERVICES FOUND AT THIS SITE ARE PROVIDED AS IS, AS AVAILABLE,  AND WITH ALL FAULTS.  ROCKETATM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND ALL THIRD PARTY SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, STATUTORY, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.  ROCKETATM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT (I) THE ACCURACY, COMPLETENESS, OR CONTENT OF THIS SITE, (II) THE ACCURACY, COMPLETENESS, OR CONTENT OF ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, AND/OR (III) THE SERVICES FOUND AT THIS SITE OR ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, AND ROCKETATM ASSUMES NO LIABILITY OR RESPONSIBILITY FOR THE SAME.

 

IN ADDITION, YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT NO ORAL OR WRITTEN INFORMATION OR ADVICE PROVIDED BY ROCKETATM, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS (INCLUDING WITHOUT LIMITATION ITS CALL CENTER OR CUSTOMER SERVICE REPRESENTATIVES), AND THIRD PARTY SERVICE PROVIDERS WILL (I) CONSTITUTE LEGAL OR FINANCIAL ADVICE OR (II) CREATE A WARRANTY OF ANY KIND WITH RESPECT TO THIS SITE OR THE SERVICES FOUND AT THIS SITE, AND USERS SHOULD NOT RELY ON ANY SUCH INFORMATION OR ADVICE.

 

THE FOREGOING DISCLAIMER OF REPRESENTATIONS AND WARRANTIES SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, AND SHALL SURVIVE ANY TERMINATION OR EXPIRATION OF THIS AGREEMENT OR YOUR USE OF THIS SITE OR SERVICES FOUND AT THIS SITE.

 

Limitations of Liability

 

IN NO EVENT SHALL  ROCKETATM, ITS OFFICERS, DIRECTORS, EMPLOYEES,  AGENTS, AND ALL THIRD PARTY SERVICE PROVIDERS, BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING ANY THAT MAY RESULT FROM (I) THE ACCURACY, COMPLETENESS, OR CONTENT OF THIS SITE, (II) THE ACCURACY, COMPLETENESS, OR CONTENT OF ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, (III) THE SERVICES FOUND AT THIS SITE OR ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, (IV) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER, (V) THIRD-PARTY CONDUCT OF ANY NATURE WHATSOEVER, (VI) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY AND ALL CONTENT, PERSONAL INFORMATION, FINANCIAL INFORMATION OR OTHER INFORMATION AND DATA STORED THEREIN, (VII) ANY INTERRUPTION OR CESSATION OF SERVICES TO OR FROM THIS SITE OR ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, (VIII) ANY VIRUSES, WORMS, BUGS, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR FROM THIS SITE OR ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, (IX) ANY USER CONTENT OR CONTENT THAT IS DEFAMATORY, HARASSING, ABUSIVE, HARMFUL TO MINORS OR ANY PROTECTED CLASS, PORNOGRAPHIC, ?X-RATED?, OBSCENE OR OTHERWISE OBJECTIONABLE, AND/OR (X) ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF THIS SITE OR THE SERVICES FOUND AT THIS SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND WHETHER OR NOT  RocketATM IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

IN ADDITION, You SPECIFICALLY ACKNOWLEDGE AND agree that any cause of action arising out of or related to this Site or the Services found at this Site must be commenced within one (1) year after the cause of action accrues, otherwise such cause of action shall be permanently barred.

 

IN ADDITION, You SPECIFICALLY ACKNOWLEDGE AND agree that in no event SHALL ROCKETATM'S total aggregate liability exceed the GREATER OF A) THE total amount paid by you for the particular Services that are the subject of the cause of action, AND B) $100.00.

 

THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, AND shall survive any termination or expiration of this Agreement or your use of this Site or the Services found at this Site.

 

Reasonableness

 

By using this website, you agree that the exclusions and limitations of liability set out in this website disclaimer are reasonable. 

If you do not think they are reasonable, you must not use this website or its offered services.

 

Other Parties

 

You accept that, as a limited liability entity, RocketATM has an interest in limiting the personal liability of its officers and employees.  You agree that you will not bring any claim personally against RocketATM officers or employees in respect of any losses you suffer in connection with the website.

 

Without prejudice to the foregoing paragraph, you agree that the limitations of warranties and liability set out in this website disclaimer will protect RocketATM officers, employees, agents, subsidiaries, successors, assigns and sub-contractors as well as RocketATM.

 

Loyalty Programs and Promotion Offers

From time to time, RocketATM and its Affiliates offer Loyalty Programs and Promotional Offers under various names to our customers, members, visitors and users. In addition to the terms and conditions set forth in the User Agreement, these Loyalty Programs and Promotional Offers may be subject to their own specific and additional terms and conditions displayed on the marketing materials. Please be sure you have read and understand all of the terms and conditions of the Loyalty Programs and Promotional Offers before you purchase any of the products or services offered in association with these Loyalty Programs and Promotional Offers.

 

Unenforceable Provisions

 

If any provision of this User Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect to the maximum extent permitted by law. Upon such determination that any term or other provision is invalid, illegal or incapable of being enforced, the court shall modify only the affected term, condition or provision to effect the original intent of the parties as closely as possible so that the contemplated transactions are fulfilled and RocketATM and its Affiliates are protected to the greatest extent possible. In our sole discretion, we may assign this User Agreement in accordance with the Notices Section. Headings are for reference purposes only and do not limit the scope or extent of such section. Our failure to act with respect to a breach by you or others doesn't waive our right to act with respect to subsequent or similar breaches. We do not guarantee we will take action against all breaches of this User Agreement.

This User Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof. The following Sections survive any termination of this User Agreement: Fees and Services (with respect to fees owed for our services), Release, Content, Liability, Indemnity and Disputes.

 

Indemnity

 

You hereby agree to protect, defend, indemnify and hold harmless RocketATM and its officers, directors, employees, agents and third party service providers from and against any losses, damages, costs, liabilities and expenses of every kind and nature (including without limitation legal expenses and any amounts paid by RocketATM to a third party in settlement of a claim or dispute on the advice of RocketATM legal advisers) incurred or suffered by RocketATM arising out of your use of and access to the Site or the services found at this Site and any breach by you of any provision of these terms and conditions , or arising out of any claim that you have breached any provision of these terms and conditions and other agreements and policies attached hereto .

 

Breaches of these Terms and Conditions

 

Without prejudice to RocketATM other rights under these terms and conditions, if you breach these terms and conditions in any way, RocketATM may take such action as RocketATM deems appropriate to deal with the breach, including suspending your access to the website, prohibiting you from accessing the website, blocking computers using your IP address from accessing the website, contacting your internet service provider to request that they block your access to the website and/or bringing court proceedings against you.

 

Assignment

 

RocketATM may transfer, sub-contract or otherwise deal with RocketATM rights and/or obligations under these terms and conditions without notifying you or obtaining your consent.

You may not transfer, sub-contract or otherwise deal with your rights and/or obligations under these terms and conditions. 

 

Severability

 

If a provision of these terms and conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.  If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

 

Entire Agreement

 

These terms and conditions, together with the ATM Operator Agreement and company Policies referenced herein or linked thereto, constitute the entire agreement between you and RocketATM in relation to your use of this website, and supersede all previous agreements in respect of your use of this website.

 

Law and Jurisdiction

 

These terms and conditions will be governed by and construed in accordance with laws of the State of Georgia, and any disputes relating to these terms and conditions will be subject to the jurisdiction of the courts of Cobb County in the State of Georgia.

 

Variation and Consent to Changes

 

RocketATM may revise these terms and conditions from time-to-time.  Revised terms and conditions will apply to the use of this website from the date of the publication of the revised terms and conditions on this website.  Please check this page regularly to ensure you are familiar with the current version.  Use of this Site after we post changes to the User Agreement and any ATM Operator Agreements and other company Policies herein or linked thereto, represents your acceptance and agreement to those changes, whether or not you actually reviewed the amendments.

 

This User Agreement and all other Agreements and Policies herein or linked thereto, is effective as of May 1, 2014 and was last updated on May 1, 2014.
